  • 1.  MOU Language for Pledge

    Hello,

     

    I am looking to see if anyone has examples of MOU/LOI language for situations where there is a main donor for a pledge, but several other individuals will contribute (who were not signers of the pledge) and these contributions will be used to pay down the pledge. The example we have is memorial gift pledges, where a donor makes a pledge but asks family and friends to contribute directly and expects these gifts to pay down the pledge. We are seeking language that we can use in a MOU/LOI.

    You cannot "book" a pledge unless a donor guarantees to cover the entire amount. So, in this case the pledge signer must promise to pay the entire amount - but then you can agree to voluntarily reduce that amount as others contribute.

    I'd use the same language I've crafted for when a donor expects some payments to come from a DAF:

    The undersigned acknowledge that for our commitment to be fully recognized as a commitment to the [entity name], I/we are personally responsible for its satisfaction.  We may not make commitments on behalf of others.  Should related payments be received from third parties, [entity name] may voluntarily reduce our obligation by a similar amount.
